Scope and Subject of the Contract
These terms of use apply to all services of Sydney Home Automation GmbH, including technical training, consulting, and installation of smart home systems.
The subject of the contract is the provision of training and services in the field of building automation, control technology, and networked home technology.
Obligations of the Contracting Parties
The provider undertakes to carry out the training professionally and in accordance with the current state of the art. The training content will be tailored to the needs of the participants.
The customer is obliged to ensure a suitable technical infrastructure and to take all necessary safety precautions. For remote training, the customer is responsible for a stable internet connection.
- The customer ensures that all participants have the required basic knowledge.
- The customer is liable for damages resulting from improper use of the provided equipment.
- The provider reserves the right to cancel training sessions if the number of participants is insufficient.
Liability and Responsibility
The provider is fully liable for intent and gross negligence as well as for injury to life, limb, and health. For simple negligence, the provider is only liable in the event of a breach of essential contractual obligations, limited to the contract-typical, foreseeable damage.
The provider assumes no liability for the functionality of third-party systems or for damages resulting from improper operation by the customer. Participation in training is at your own risk.
Disclaimer for Automation Systems
The provider is not liable for failures of smart home systems due to network disruptions, power outages, or incorrect configuration by the customer. Liability for indirect damages or lost profits is excluded.
- The provider is not liable for data loss resulting from the use of the automation systems.
- The customer is obliged to regularly create backup copies of their system configurations.
Payment Terms and Termination
The remuneration for training and services is due before the start of the service, unless otherwise agreed. All prices are in euros plus statutory VAT.
The contract can be terminated by either party with a notice period of 14 days to the end of the month. For one-time training, the contract ends upon completion of the training. The provider may terminate the contract without notice for good cause, particularly in the event of payment default or violation of the terms of use.
- If a training session is canceled up to 7 days before the start, an administrative fee of 25% of the training price will be charged.
- In case of non-attendance or cancellation within 48 hours before the start, the full training price is due.
Changes to the Terms
The provider reserves the right to change these terms of use at any time with effect for the future. The customer will be informed of material changes by email. If the customer does not object within four weeks of receiving the change notice, the amended terms are deemed accepted.
In the change notice, the provider will inform the customer of the objection period and the legal consequences. Changes affecting the core of the contractual relationship require the express consent of the customer.
Final Provisions and Contact
The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction for all disputes arising from this contract is the registered office of the provider, provided the customer is a merchant or a legal entity under public law.
Should any provision of these terms be invalid, the validity of the remaining provisions shall remain unaffected. In place of the invalid provision, a valid regulation that comes closest to the economic purpose shall apply.
